Suffolk Wants Canon to Prove 1,081 Jobs in Melville Every Quarter

Canon's 2024 Suffolk IDA deal carries a 1,081-job floor at One Canon Park. The agency now wants quarterly headcount, and has pulled up its termination clause.

Canon U.S.A. runs its American headquarters out of a 696,000 square foot building on 52 acres at One Canon Park in Melville. In February 2024 the company closed an $8.4 million tax transaction with the Suffolk County Industrial Development Agency. Inside that transaction is a number the company is now being asked to prove every three months: 1,081 full-time employees at the Melville facility.

What the deal covered

The agency's project abstract for the transaction, filed under project 47052402A, describes renovations to the existing headquarters plus infrastructure and technology upgrades totaling over $8 million, including a wireless network, conference rooms and a training center, along with $1.3 million of imaging products for the company to showcase to potential customers. Total project costs came to $8,424,122, and that is the figure the agency authorized as a lease transaction.

The board approved the inducement resolution on December 14, 2023 by six votes to zero with one member absent, held the public hearing on January 22, 2024, adopted the final resolution seven to zero on January 25, and closed the project on February 27.

The structure is the standard one. The agency takes a leasehold interest in the property and leases it straight back to the company, which is the mechanism that lets the property tax abatement, the mortgage recording tax exemption and the sales tax exemption attach. Canon's company lease and its lease and project agreement are both dated February 1, 2024.

Section 8.11 is a covenant, not a forecast

At application the company reported 1,081 employees at the facility, annual payroll of $121,320,130 and an average salary of $112,230. It proposed no new jobs in the first year and none in the second. The employment case for the deal was retention rather than growth, and Section 8.11 of the lease agreement turned that into an obligation: the company agreed to maintain at least 1,081 full-time employees at the facility during the term.

Operators tend to read the employment line on an IDA application as a projection. It is not. The agency's own correspondence describes the employment commitment as an essential condition of the financial assistance it authorized.

The letter

On April 24, 2025, about fourteen months after closing, IDA Executive Director and Chief Executive K. Kelly Murphy wrote to Canon's executive vice president and its senior vice president for corporate legal. The letter states that it has come to the agency's attention that the company may not be in a position to meet the employment commitment in the current year or in future years.

It then invoked Section 8.5, which obliges the company to certify information about its finances, operations and employment within thirty days of a written request. The agency asked for quarterly reports of full-time headcount at the facility, including the NYS-45, the quarterly combined withholding and wage reporting return every New York employer already files, beginning with the figures as of the end of March 2025.

The letter closes by reminding the company that a sale or closure of the facility, or a departure from Suffolk County, would be both an event of default and a recapture event, and that the company owes the agency written notice within thirty days of any facts likely to lead to one.

What the board pulled up in August

The matter has not closed. The agenda backup the agency posted for its August 13, 2026 board meeting pairs the Canon project abstract with two documents that are not routine attachments: the arbitration article of the lease agreement and its termination provision.

Article XIV sends any dispute under the lease to binding arbitration before an American Arbitration Association arbitrator with at least ten years of experience, venue in Suffolk County, a demand due within thirty days of notice and a decision due within thirty days of the last hearing, with fees split between the parties. The termination provision lets the agency, on or after the abatement termination date, end the lease without the company's consent, reconvey the equipment and cancel the sales tax exemption.

Neither document names a next step. Both are the agency reading its own remedies into the public record. The board's next regular meeting is September 24 at 12:30 in the H. Lee Dennison Building in Hauppauge.

What it means for members

Read the employment section of your own PILOT or lease agreement before your next headcount decision, not after it. If you have taken IDA assistance in Suffolk or Nassau, the job number in that agreement is a covenant with a recapture clause behind it, and the agency can require you to prove it every quarter out of a form you already file with the state.

Canon is the largest version of this on the Route 110 corridor, which is exactly why it is worth watching. How the agency handles a 1,081-job floor at a marquee employer sets the practical standard for the twenty-person shop in Hauppauge that signed a smaller deal on the same template.
